Vibideo Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Vigilainte Inc ("Vigilainte," "we," "us," or "our") governing your use of the Vibideo iOS application (the "App") and any related services. This document is hosted at https://vibideo.app/terms and linked from the App Store listing and from the in-app paywall and Settings screen.

By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction, if higher) to use the App. If you are under the age of majority where you live, you may use the App only with the involvement and consent of a parent or legal guardian, who is responsible for your use of the App and compliance with these Terms. By using the App, you represent that you meet these requirements.

2. The Service and Your Identity

Vibideo lets you generate short AI videos from text prompts, uploaded photos, or keyframes. The App does not require you to create a traditional account; instead, it identifies you using an anonymous device identifier stored in your device's Keychain (see our Privacy Policy for details). You are responsible for maintaining control of the device on which the App is installed, since your credit balance and generated content are tied to that identifier.

3. License to Use the App

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on Apple devices you own or control, for personal or internal business use, in accordance with Apple's standard End User License Agreement and the App Store Terms of Service. All rights not expressly granted are reserved by us and our licensors.

4. Credits, Purchases, and Subscriptions

4.1 Credits Are Prepaid, Consumable Usage Units

Vibideo runs on a credit system. Credits are a prepaid, virtual, consumable unit of usage — they are not currency, are not redeemable for cash, and have no value outside the App. Each video generation (and each "re-roll" or "extend" action) consumes a number of credits determined by the generation level, duration, and resolution you select, as shown in the App before you confirm.

4.2 No Refunds

All credit purchases and subscription payments are processed by Apple and are non-refundable, except (a) where required by applicable law, or (b) as Apple's own refund policies may separately provide. We do not have the ability to issue refunds directly; refund requests must be submitted to Apple through your Apple Account.

4.3 Subscriptions — Auto-Renewal

Vibideo offers auto-renewable subscriptions (currently weekly and yearly options) that include a recurring credit allowance.

• Payment is charged to your Apple Account at confirmation of purchase.
• Subscriptions automatically renew for the same duration and price (unless the price has changed with notice, as required by Apple) unless you turn off auto-renew at least 24 hours before the end of the current period.
• Your Apple Account will be charged for renewal within 24 hours before the end of the current period.
• You can manage or cancel your subscription anytime in your Apple Account / iOS Settings. Cancelling stops future renewals but does not refund the current period.

4.4 Credit Expiration — Subscriptions vs. Packs

Credits granted by an active subscription reset at the start of each new billing period — meaning any unused subscription credits from the prior period expire and do not carry over. This reflects a recurring "allowance" model tied to your paid subscription period, not a stockpile.

Credits purchased as one-time credit packs do not expire and remain available in your balance until used, regardless of whether you also hold an active subscription.

If both subscription credits and pack credits are present in your balance, generation costs may be drawn from either or both, consistent with the App's balance display at the time of use.

4.5 Pricing

Prices are shown in the App before purchase and may vary by region, promotion, or test. We may change prices for future purchases at any time; changes will not retroactively affect credits or entitlements you have already received.

5. Acceptable Use

You agree not to use the App to create, upload, or generate content that:

• Is illegal, or that facilitates illegal activity, under applicable law;
• Infringes or misappropriates any third party's intellectual property, publicity, or privacy rights;
• Depicts, sexualizes, or exploits minors in any way, including content that appears to depict a minor in a sexual or exploitative context;
• Depicts an identifiable real person's likeness, voice, or image without that person's consent, including "deepfake"-style impersonation intended to deceive;
• Is hateful, harassing, defamatory, discriminatory, or intended to incite violence against individuals or groups;
• Is deceptive, fraudulent, or intended to mislead (for example, fabricated "news" or impersonation of public figures or institutions presented as real);
• Violates the acceptable-use or content policies of our underlying AI processing provider, fal.ai, or of Apple's App Store Review Guidelines.

Because Vibideo relies on a third-party AI provider to generate videos, that provider's own content policies apply to your use of the App in addition to these Terms, and requests may be refused, filtered, or flagged by that provider or by us for policy or safety reasons, without liability to you. We may suspend or terminate your access for violating this section, and may cooperate with law enforcement where content suggests illegal activity, including exploitation of minors.

You are solely responsible for the prompts and photos you submit and for ensuring you have the rights and consents necessary to use them (for example, consent from any person whose photo or likeness you upload).

6. Ownership of User Content and Generated Videos

As between you and us, you retain any rights you already held in the prompts and photos you submit ("Input Content"). Subject to your compliance with these Terms and applicable law, we assign to you our rights (if any) in the videos generated for you ("Output Content"), so that you may use, save, and share them, to the extent permitted by:

• Applicable law (including that certain jurisdictions may not recognize copyright in AI-generated works); and
• The terms and content policies of our underlying AI infrastructure provider, fal.ai, which processes your Input Content to produce Output Content.

You grant us a worldwide, royalty-free license to store, process, transmit, and display your Input Content and Output Content as necessary to operate the App (including sending it to fal.ai for processing and storing it via our cloud storage provider), and to use de-identified, aggregated data from App usage to improve our services. We do not use your content to train third-party foundation models for unrelated purposes, and we do not sell it.

Output Content is created at your direction, from Input Content and settings you choose. As between you and Vigilainte, you — not we — are responsible for the Output Content you choose to generate, keep, or share, and for ensuring that your generation and use of it complies with applicable law, these Terms, and third-party rights.

7. Disclaimer of Warranties

THE APP AND ALL GENERATED CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AI-GENERATED VIDEO OUTPUT MAY BE INACCURATE, UNEXPECTED, LOW QUALITY, OR OTHERWISE NOT MATCH YOUR PROMPT OR INTENT, AND WE DO NOT WARRANT THAT GENERATIONS WILL MEET YOUR EXPECTATIONS, BE ERROR-FREE, OR BE AVAILABLE ON AN UNINTERRUPTED BASIS. YOU USE THE APP AND ANY GENERATED CONTENT AT YOUR OWN RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE, OUR OFFICERS, EMPLOYEES, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE APP WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) USD $50. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

9. Termination

You may stop using the App at any time by deleting it from your device. We may suspend or terminate your access at any time, with or without notice, for conduct we believe violates these Terms, is harmful to other users, us, or third parties, or for any other reason, including to comply with legal requirements. Termination does not entitle you to a refund of unused credits or subscription fees, except as required by law or Apple's own policies. Sections 4.2, 6, 7, 8, 10, and 11 survive termination.

10. Changes to the App and These Terms

We may modify, suspend, or discontinue any part of the App at any time. We may also update these Terms from time to time; we will update the "Last updated" date above and, for material changes, provide reasonable notice (such as an in-app notice). Your continued use of the App after changes take effect constitutes your acceptance of the revised Terms.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Nothing in this section limits any non-waivable consumer protection rights you may have under the mandatory law of your country or state of residence.

12. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right or provision is not a waiver of that right. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the App, and supersede prior agreements. Apple is not a party to these Terms and has no obligation to support the App, but Apple is a third-party beneficiary of these Terms as they relate to your license to use the App, and may enforce them against you.
